The Challenge

A family-owned restaurant group wishes to sell but does not know how best to do so. The business is growing with new outlet openings, and Mr Tan does not have the capacity to manage an organised sale process alongside daily operations. Mr Tan is also concerned of privacy, he does not want rumours of a potential sale to affect employees morale and suppliers relationships.

Strategix Asia’s Role

Strategix Asia was engaged to take the business through an organised sale process. We first carried out ValuReady, our pricing exercise, to price the business appropriately by examining the various areas across operational, supply chain and financial performance to reach an alignment of price expectations.

Next we proceeded to Staging, where we crafted deal marketing deliverables such as an anonymous Teaser and a Confidential Information Memorandum (IM), to be shared with prospective parties only after we carry out an initial buyer screening and obtain a non-disclosure agreement.

Outcome / Current Status

Strategix Asia provides a deal team to lead the sale process whilst Mr Tan remains focused on the daily operations of the business. We provided regular updates over interested prospects and only selected those who met Mr Tan's criteria to proceed to evaluation, due diligence and negotiation.

A sale process requires a significant amount of effort such as buyer screening that involves speaking to different interested parties and ensuring that knowledge of a sale is kept strictly confidential.
